Version 1.0
Last Revised on: May 5, 2025
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Clete Intelligence, Inc. ("Clete", "Company", "we", or "us") governing your access to and use of the Clete platform, website (https://www.clete.ai), and AI-powered automated services for issue detection, resolution, and pull request creation (collectively, the "Service").
By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity. You may not access or use the Service if you are under the age of 18 or if you do not agree to these Terms.
1.1 Account Creation
To use certain features, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for any activity that occurs under your account.
1.2 Security
You must promptly notify us of any unauthorized access or use of your account. We are not liable for any losses resulting from unauthorized use of your account.
Clete provides AI-based automation tools that detect issues in your infrastructure or codebase (via integrations with GitHub, Slack, and custom webhooks), generate proposed fixes, and create pull requests to your repositories. Fixes are created in ephemeral and isolated environments, which are automatically destroyed after use. We do not retain your source code.
When you connect your GitHub account, you authorize us to access certain repository information and perform actions such as opening pull requests on your behalf.
We grant you a limited, non-exclusive, revocable license to use the Service for your internal business purposes, subject to compliance with these Terms.
Clete offers three service tiers:
Hobby Plan: $10/month
Lite Plan: $30/month, with optional additional usage upon request
Business Plan: Usage-based, billed at the end of the month
All payments are final unless otherwise stated. We may modify pricing with prior notice. You are responsible for all applicable taxes and fees.
You agree not to:
Violate any law or regulation through your use of the Service
Transmit harmful code, attempt unauthorized access, or interfere with the operation of the Service
Use the Service to generate or distribute malicious, unlawful, or infringing content
Reverse engineer, copy, or create derivative works from the Service
Use automated means to access or use the Service, except for authorized integrations (e.g., Slack, GitHub)
We reserve the right to suspend or terminate access for any violation.
You retain ownership of any content you submit ("User Content"). You grant us a license to use, display, and process your User Content solely to provide the Service.
You may submit feedback, suggestions, or ideas regarding the Service. We may use your feedback without restriction or obligation.
Our Privacy Policy explains how we collect and use your information. In summary:
We collect data via Slack, GitHub, and webhook integrations
Tokens (e.g., GitHub) are securely encrypted and stored
All processing environments are temporary and securely destroyed after use
We do not sell your data to third parties
By using the Service, you consent to our handling of data in accordance with the Privacy Policy.
We may suspend or terminate your access at any time for violations of these Terms or misuse of the Service. Upon termination, your rights to use the Service cease immediately. Provisions regarding ownership, indemnification, limitation of liability, and dispute resolution survive termination.
The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be error-free, uninterrupted, or secure.
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claims arising out of or relating to the Service is limited to $50 USD.
10.1 Binding Arbitration
Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of JAMS, except where you have opted out as described below.
10.2 No Class Actions
You agree to resolve disputes individually, and not as part of a class or collective action.
10.3 30-Day Opt-Out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing hello@clete.ai.
10.4 Informal Resolution
Before arbitration, both parties agree to attempt informal resolution by written notice and conference.
We reserve the right to revise these Terms. Material changes will be communicated via email or posted to the Site. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.
You agree not to export, re-export, or transfer the Service except as authorized under applicable U.S. laws and the laws of any other relevant jurisdiction.
These Terms constitute the entire agreement between you and the Company regarding your use of the Service. If any part of these Terms is found to be invalid or unenforceable, the remainder shall remain in full force and effect.
